1. Acceptance of Terms
By accessing or using the website operated by VENUS KOREA Inc. ("we," "us," "VENUSKOREA"), or by purchasing products through our wholesale services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.
2. Description of Services
VENUSKOREA is a Korean trading company specializing in the wholesale export of Korean cosmetics and consumer goods. Our services include:
Wholesale sourcing and supply of Korean beauty brands
Brand sourcing and curation
Export documentation services
International logistics coordination
Private Label and OEM partnerships
Market insights and trend reports
3. Eligibility
Our services are intended exclusively for business entities and authorized representatives. By using our services, you represent and warrant that:
You are at least 18 years of age.
You are a legitimate business entity or authorized representative of one.
You have the legal authority to enter into binding agreements on behalf of your business.
You will use our products and services for lawful business purposes only.
4. Wholesale Order Process
The standard order process is as follows:
Inquiry: Submit a wholesale inquiry through our contact form, email, or WhatsApp.
Quotation: We respond with a tailored quotation within 24 business hours.
Confirmation: Approve the proforma invoice to confirm your order.
Payment: Complete payment through one of our accepted methods (see Section 5).
Shipment: Goods are prepared and shipped within 5 to 7 business days.
Order confirmations are binding once payment is received. Modifications or cancellations are subject to written agreement.
5. Pricing, Payment, and Currency
All prices are quoted in US Dollars (USD) unless otherwise agreed in writing.
Prices are subject to change without notice until a formal quotation is issued.
Accepted payment methods: Telegraphic Transfer (T/T), Letter of Credit (L/C at sight), and PayPal (for orders under USD 5,000).
Payment is required in full before goods ship, unless other terms are agreed in writing.
All applicable taxes, customs duties, and import fees in the destination country are the responsibility of the buyer.
6. Shipping and Delivery
Incoterms options: FOB Busan, CIF destination port, or EXW Seoul warehouse.
Standard lead time: 5 to 7 business days after payment confirmation.
Carriers: DHL, FedEx, EMS, or sea freight from Busan port.
Tracking information is provided on the day of dispatch.
Delivery times are estimates and not guaranteed due to customs and carrier variables.
Risk of loss transfers to the buyer based on the agreed Incoterm.
7. Returns, Refunds, and Defects
Due to the nature of cosmetic products and international B2B trade, all sales are final. However, we will address legitimate quality issues as follows:
Inspection: Buyers must inspect goods within 7 days of delivery and report any defects in writing.
Defective goods: Verified defects will be replaced or credited in the next order.
Shipping damage: Claims must be filed with the carrier and reported to us within 7 days.
Cancellation: Once goods have shipped, orders cannot be cancelled.
8. Intellectual Property
All content on our website, including the VENUS KOREA name, logo, designs, text, graphics, and brand assets, is the property of VENUS KOREA Inc. or its licensors. Brand logos of partner companies are the property of their respective owners.
You may not use, reproduce, distribute, or modify our content without prior written permission.
For brand logo usage related to our partnership, please contact us for written authorization.
9. Limitation of Liability
To the maximum extent permitted by law, VENUSKOREA shall not be liable for:
Indirect, incidental, consequential, or punitive damages.
Loss of profits, revenue, data, or business opportunities.
Damages arising from delays in shipping or customs processing beyond our reasonable control.
Issues arising from incorrect information provided by the buyer.
Our total liability for any claim shall not exceed the amount paid by the buyer for the specific order in question.
10. Indemnification
You agree to indemnify and hold harmless VENUSKOREA, its officers, employees, and partners from any claims, damages, or expenses arising from:
Your breach of these Terms.
Your violation of any laws or regulations.
Your use or resale of our products.
Misrepresentation of our products to your customers.
11. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government restrictions, port closures, or significant disruptions to international shipping.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or our services shall be resolved through:
Good faith negotiation as the first step.
Mediation or arbitration in Seoul, Republic of Korea, if negotiation fails.
Final disputes shall be submitted to the Seoul Central District Court.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified through our website or by email. Continued use of our services after such changes constitutes acceptance of the modified Terms.
14. Termination
We reserve the right to terminate or suspend access to our services for any user who violates these Terms or engages in fraudulent, abusive, or unlawful activity.
